# ZEME Partner Program Rules — v1.1
**Status:** Master document. Business rules frozen before any portal is built.
**Owner-confirmed:** commission table and partner types, 27 August 2026.
**Items still open carry the mark `[OWNER TO SET]` with a recommended default — nothing in this
document is invented silently.**
Every rule the partner portal, the attribution system and the monthly statements implement
comes from this document. If the portal and this document disagree, this document wins and
the portal is wrong.

## 1. Partner types

**Rules that apply to every type:**
- One partner account, one referral code. Codes are never shared, resold or transferred.
- A person or firm holds **one** partner type at a time. Upgrading (e.g. Individual → Territory)
replaces the old agreement; it never stacks two commission plans.
- Every partner signs the same conduct rules (Section 6) regardless of type.

## 2. Commission plans
**Owner-confirmed 27 August 2026.** Rates apply to collected subscription revenue,
net of payment-gateway fees.

**Rules that make the table enforceable:**
- **Recurring means recurring.** No step-down at renewal. Year three pays what year one paid.
- **"Active member"** = a member whose current month's payment has been **collected** (not
merely invoiced). Free, trial and beta members count toward activity floors but earn no
commission until they pay.
- **Commission is paid on collection, not on signup.** A member who signs up and never pays
earns nothing. A refund or chargeback claws back that month's commission on the next
statement.
- **One member, one partner, forever.** The partner whose code is on the signup owns that
member for the member's lifetime. A member who cancels and returns within
`[OWNER TO SET — recommended: 6 months]` still belongs to the original partner; after that,
a new referral may claim them.
- **No self-referral.** A partner subscribing themselves, family accounts created to farm
commission, or bulk fake signups are fraud (Section 7).
- **Educator / Community / Individual all pay from the 35% row.** The type changes what the
partner *does*, not what a referral pays, until the owner sets differentiated rates.

## 3. Attribution — who gets paid for whom
Attribution is **data, not argument**. The platform already records signup source, campaign,
city and referral code per member.
1. A member belongs to the partner whose **referral code** was on their registration, or whose
tracked link cookie (30-day window) was most recent at signup.
2. **Organic members are ZEME's.** Members who arrive with no partner code and no partner
cookie — national search, direct traffic, ZEME's own marketing — are never attributed and
never paid on. This is stated to every partner before signature.
3. **Territory attribution** adds: any member whose signup city matches the territory AND
carries the territory partner's code or cookie. City alone is **not** enough — a Karachi
member arriving organically is ZEME's (rule 2).
4. Disputes are settled from the database record, full stop. If the record is ambiguous, the
earlier code wins.
5. Attribution is fixed at signup. Changing a member's attribution afterwards requires the
owner's written approval — the portal must not allow it.

## 4. Payment mechanics
- **Statement:** monthly, generated on the `[OWNER TO SET — recommended: 5th]` for the
previous calendar month, listing every attributed member, collected amount, rate and
commission. The statement shows the same per-member data the partner can see in their
portal — no black box.
- **Payout:** by the `[OWNER TO SET — recommended: 10th]`, bank transfer in PKR.
- **Minimum payout:** `[OWNER TO SET — recommended: Rs 5,000]`; smaller balances roll forward.
- **Clawbacks:** refunds and chargebacks deduct from the next statement, itemised.
- **Taxes:** commissions are gross; the partner is responsible for their own taxes. ZEME
applies withholding where the law requires and shows it on the statement.
- **Beta note:** while ZEME is free during beta, commissions accrue on **nothing** — there is
no collected revenue. Partners recruited during beta build their member book now and earn
from the month billing switches on. This is stated plainly before signature, not discovered
after.

## 4b. Collection models — both are acceptable (owner-confirmed 27 Aug 2026)
A subscription may be collected either way. The commission is identical; only the
direction of settlement changes.

Rules that keep model B honest:
- **The member never suffers.** A payment recorded by the partner activates the member's
subscription immediately; the remittance is between ZEME and the partner.
- Both directions live in the same permanent ledger: a model-B payment books the
commission earned **and** the gross held, so the partner's net position is always visible
— a negative net means "you owe ZEME", stated in words on the statement.
- A model-B refund is made by the partner to the member directly, and reverses both
entries.
- **Collection limit:** a partner may hold at most `[OWNER TO SET — recommended: Rs 100,000]`
of unremitted ZEME share at any time; the portal blocks recording further model-B
payments beyond it. Exposure is capped by design, not by trust.
- Late remittance (`[OWNER TO SET — recommended: 15 days past statement]`) suspends
model B for that partner; model A keeps working. Repeated failure is a §7 cause.
- Model B requires **ACTIVE** status — never available during pending_activation.
## 5. Territory rules (Territory Partners only)
- **One partner per territory.** The territory is named in the agreement (e.g. "Karachi").
ZEME appoints no second partner, agent or reseller inside it during the term.
- **Term:** `[OWNER TO SET — recommended: 24 months]`, auto-renewing while the activity floor
is met.
- **Activity floor:** exclusivity must cost something, or it becomes a blocked territory.
Recommended: `[OWNER TO SET — e.g. 15 new active paid members per quarter after the first
two quarters]`. Missing the floor for two consecutive quarters converts the agreement to a
non-exclusive Individual Partner agreement — the book and its commissions survive; only the
exclusivity lapses.
- **The accelerator** (40% above 250 actives) applies to territory partners only.
- Territory partners may recruit sub-promoters **inside their own commission** — ZEME pays
the territory partner only, and sub-arrangements are the partner's own business and risk.

## 6. Conduct rules — every partner, every type
These protect the member, the partner and ZEME. Breach of any of them is grounds for
termination under Section 7.
1. **ZEME is educational analytics, never investment advice.** Every partner represents it
exactly that way. No partner may promise returns, guarantee outcomes, or present any ZEME
output as a personal recommendation.
2. **No tip-group behaviour.** Partners do not repackage ZEME signals into WhatsApp tip
groups, do not sell signals separately, and do not strip the risk/counterargument from any
ZEME output they share. The platform's credibility is the product being sold.
3. **Honest numbers only.** Partners quote ZEME's published, measured figures (trust.html)
with their sample sizes — never invented win rates. A partner caught inventing performance
claims is terminated for cause.
4. **No customer sends without approval.** Partners run their own outreach; they do not send
email/WhatsApp *as ZEME* or from ZEME's identity without per-send approval.
5. **Brand:** ZEME's name, logo and materials are used as supplied. No modified logos, no
competitor comparisons by name, no implied SECP/regulatory endorsement.
6. **Pricing:** partners sell at ZEME's published prices. No unauthorised discounting; no
surcharging members.
7. **Data:** member data visible in the partner portal is confidential, used only to service
those members, and never exported, sold or used after termination.

## 7. Termination and fraud
- **For cause (immediate, commissions forfeit):** invented performance claims, self-referral
fraud, fake signups, selling ZEME data, representing ZEME as investment advice after one
written warning.
- **For convenience:** either side, `[OWNER TO SET — recommended: 60 days]` written notice.
The partner's earned commissions on their existing book continue for
`[OWNER TO SET — recommended: 12 months]` after a no-fault exit, then end. (A lifetime tail
after the partner stops all servicing is the owner's call — the recommendation balances
"recurring means recurring" against paying forever for no work.)
- On any termination: portal access ends, ZEME materials are returned/deleted, and Section 6.7
survives.

## 8. What ZEME provides / what the partner provides

No licence fee, no inventory, no development cost to enter. The partner's capital is
attention.

## 10. Dispute resolution
- **The record decides first.** Attribution disputes are settled from the database
(§3.4); commission disputes from the ledger — which neither side can edit (§4).
Most disputes end here, because the evidence cannot be argued with.
- What the record cannot settle goes to **good-faith negotiation** between the partner
and ZEME's owner, in writing, within 15 days of the dispute being raised.
- Unresolved after that: **mediation in Karachi**, then the courts of Pakistan.
Governing law: Pakistan. `[OWNER TO SET — arbitration instead, if preferred]`
- No partner may raise a public dispute (social media, member channels) while a
written dispute is open — doing so is a §7 conduct breach.
- Continuing to service members during a dispute is expected; commissions accrue
normally and are settled per the outcome.
## 9. Change control
- This document is versioned. Changes produce v1.1, v1.2 … with a dated changelog line.
- Commission changes **never apply retroactively** to an existing partner's existing book
without their written consent.
- The portal reads its rules from this document's decisions — a portal behaviour that has no
line here is a bug.
